By creating an account, purchasing access, or otherwise using the Platform, you agree to be bound by these Terms of Service. If you do not agree, you must stop using the Platform.
1. About These Terms
These Terms of Service govern access to and use of the Medley Medprep website, web application, and related services (collectively, the Platform).
These Terms apply to all users, including visitors, registered users, paid users, and any person acting on behalf of a student user.
2. Definitions
In these Terms:
- Account means a registered user profile for accessing Platform features.
- Content means all materials available on the Platform, including questions, answer explanations, analytics displays, text, graphics, user interface elements, and software functionality.
- Plan means an access level (including free and paid plans) with specific features and limits.
- Subscription means a paid access period for selected Plan features.
- User means any person who accesses or uses the Platform.
3. Eligibility and Account Requirements
To use the Platform, you must be at least 13 years old. If you are under 18, you must have parent or guardian permission.
You are responsible for:
- Providing accurate registration information;
- Keeping your login credentials secure;
- All activity under your account.
You must not share your account with others.
4. Account Security and Responsibility
You must maintain the confidentiality of your login credentials and must promptly update any compromised credentials.
You remain responsible for actions taken through your Account unless required law says otherwise.
We may require additional verification or temporarily restrict access where we detect suspicious activity, unauthorised access patterns, or account misuse.
5. Platform Access, Availability, and Changes
We aim to keep the Platform available and stable, but uninterrupted or error-free access is not guaranteed.
We may:
- Perform maintenance and security updates;
- Modify, replace, suspend, or discontinue specific features;
- Introduce new functionality, usage limits, or eligibility requirements;
- Patch defects, release upgrades, and adjust user experience.
Temporary outages may occur due to maintenance, third-party provider incidents, security responses, internet/network failures, or force majeure events.
6. Plans, Pricing, Billing, and Renewals
The Platform may offer different plan tiers and paid features.
Where paid access is offered:
- Pricing and feature scope are shown on the Platform;
- Fees are in AUD unless stated otherwise;
- Australian Consumer Law rights continue to apply.
If your account has no active paid entitlement, access may be limited to features available on your current plan.
We may change prices and plan inclusions for future purchases. Price updates do not retroactively change an already completed purchase period unless required by law.
If your paid access expires or is cancelled, your account may continue on a reduced-access basis where available.
7. Refunds and Cancellations
Unless required by applicable law, paid amounts are generally non-refundable once access has been granted.
Nothing in these Terms excludes rights under Australian Consumer Law, including consumer guarantees that cannot lawfully be excluded.
Where a refund or remedial action is required by law, the remedy may include re-supply, service correction, account credit, partial refund, or full refund depending on circumstances.
Requests related to billing, cancellation, or refunds should be submitted through the available support/contact workflow in the Platform.
8. Acceptable Use
You must use the Platform lawfully and respectfully.
You must not:
- Copy, redistribute, or commercially exploit Platform content without permission;
- Attempt to bypass security, scrape content, or automate abusive access;
- Upload malware or harmful code;
- Use the Platform to harass, abuse, or impersonate others.
- Circumvent plan limits, account controls, or anti-abuse mechanisms;
- Reverse engineer, decompile, or probe source systems except where unavoidable rights exist by law;
- Interfere with service stability, integrity, or availability.
We may monitor for abuse, fraud, and security threats and take protective action, including rate limiting, feature restriction, suspension, or termination.
9. User Conduct in Interactive Features
Where interactive features exist (such as support submissions, responses, comments, or feedback tools), you must not post or transmit content that is unlawful, defamatory, threatening, discriminatory, obscene, or otherwise inappropriate.
You are responsible for content submitted from your account.
10. Intellectual Property and Licence
Platform content, branding, software, and related materials are owned by or licensed to Medley Medprep and protected by applicable law.
You receive a limited, non-transferable licence to use the Platform for personal educational use only, subject to these Terms.
This licence does not permit resale, redistribution, republication, public display, training external products on Platform content, or creating derivative commercial materials from Platform content unless expressly permitted in writing.
Unauthorised use may result in suspension/termination and legal enforcement.
11. User Feedback and Suggestions
If you submit ideas, suggestions, or feedback relating to the Platform, you grant Medley Medprep a non-exclusive, perpetual, worldwide, royalty-free licence to use, adapt, and implement that feedback without compensation, unless otherwise agreed in writing.
12. Educational Nature of Service
The Platform is an educational preparation tool. It does not guarantee exam scores, admission outcomes, scholarships, placements, or any specific academic/professional result.
Users remain responsible for their own exam registration, eligibility checks, study strategy choices, and admissions decisions.
13. Third-Party Services and Links
The Platform may integrate with or link to third-party services, infrastructure, or websites.
We are not responsible for third-party terms, privacy practices, content, availability, or operational incidents outside our direct control.
Use of third-party services may require separate acceptance of those providers' terms.
14. Privacy and Data Handling
Use of the Platform is also governed by the Privacy Policy.
By using the Platform, you acknowledge that your information may be processed as described in the Privacy Policy, including processing by service providers used to operate the Platform.
15. Local Device Storage and Technical Operation
Certain features may rely on browser/device storage and technical runtime data to preserve preferences, drafts, session continuity, and app stability.
If local storage or required technical features are disabled, some Platform functionality may not work as intended.
16. Suspension, Restriction, and Termination
We may suspend, restrict, or terminate access where reasonably necessary, including for:
- Breach of these Terms;
- Security risks or attempted compromise;
- Fraud, abuse, or unlawful conduct;
- Repeated disruptive behavior;
- Compliance with legal requirements.
Where practical, we may provide notice and an opportunity to remedy, but immediate action may be taken for urgent security, safety, or legal reasons.
17. Disclaimers
To the extent permitted by law, the Platform is provided on an as-is and as-available basis without warranties that operation will be uninterrupted, error-free, or suitable for every intended purpose.
We do not warrant uninterrupted access, absolute security, or compatibility with every device, browser, or network environment.
18. Limitation of Liability
To the maximum extent permitted by law, Medley Medprep is not liable for indirect, incidental, special, consequential, or exemplary loss, including lost profits, lost opportunity, or loss of data arising from use of, or inability to use, the Platform.
Where liability cannot be excluded, it is limited to the minimum extent permitted by law.
Nothing in these Terms excludes rights and remedies that cannot lawfully be excluded, including mandatory consumer protections.
19. Indemnity
You agree to indemnify and hold harmless Medley Medprep from claims, losses, liabilities, and costs (including reasonable legal costs) arising from your breach of these Terms, unlawful conduct, or misuse of the Platform.
20. Disputes and Resolution Path
If you have a complaint, dispute, or legal request, you should first submit it through the official support/contact workflow available on the Platform so we can attempt resolution in good faith.
If a dispute remains unresolved, parties may pursue rights and remedies available under applicable law.
21. Changes to These Terms
We may update these Terms from time to time. Updated Terms become effective when published or on the effective date stated in the updated version.
Continued use of the Platform after updates take effect constitutes acceptance of the revised Terms.
22. Governing Law and Jurisdiction
These Terms are governed by the laws of Victoria, Australia and applicable Commonwealth law.
Subject to applicable law, disputes are to be determined by courts with jurisdiction in Victoria, Australia.
23. General Legal Provisions
- Entire Agreement: These Terms and incorporated policies form the full agreement regarding Platform use.
- Severability: If any provision is invalid or unenforceable, remaining provisions continue in effect.
- No Waiver: Delay or failure to enforce rights is not a waiver.
- Assignment: You may not assign rights under these Terms without prior written consent. We may assign rights in connection with merger, restructure, or transfer of business.
- Survival: Clauses intended to survive termination continue after account closure, including intellectual property, disclaimers, limitation of liability, indemnity, and governing law.
